Investment offers

The investment offer described on this page is available only to persons who are “wholesale investors” as described in clauses 3(2)(a), 3(2)(c) and 3(3)(b) of Schedule 1 to the Financial Markets Conduct Act 2013 (FMCA).  In addition, this

offer is also made available to persons who are in a close relationship with the offeror as described in clauses 4 and 5 of Schedule 1.  This offer does not constitute an offer of “financial products” that would otherwise need to comply with the “regulated offer” requirements in Part 3 of the FMCA.  Accordingly, expressions of interest or applications will not be accepted from any persons to whom the regulated offer requirements apply. 

The only persons who may subscribe for debt securities under this Offer in New Zealand are persons to whom disclosure under Part 3 of the FMCA is not required and who are:

• An “investment business” (within the meaning of clauses 3(2)(a) and 33, Schedule 1 of the FMCA);

• A “large” investor (within the meaning of clauses 3(2)(c) and 39, Schedule 1 of the FMCA ); or

• Investors paying a minimum of NZ$750,000 each on acceptance of this Offer (clause 3(3)(b), Schedule 1 of the FMCA);

• Close Business Associates (clause 4, Schedule 1 of the FMCA);

• Relatives (clause 5, Schedule 1 of the FMCA);
